Terms & Conditions – Photo Selling Feature

These Terms & Conditions ("Terms") govern the use of the Photo Selling Feature on Foto Owl ("Platform," "we," "our," or "us"). By enabling photo selling and offering your galleries for sale, you ("Seller," "User," or "you") agree to the following:

1. Feature Overview

  • Sellers can convert any gallery into a sellable gallery, allowing buyers to purchase photos.
  • All images in a gallery will have the same price, set by the Seller (minimum price or preferred price).
  • Dynamic pricing per image is not supported.
  • Sellers can update pricing for an event at any time via their dashboard.
  • Buyers accessing the gallery will see watermarked previews and can purchase images to download in their original resolution.

2. Copyright & Ownership

  • Sellers may only upload and sell images for which they hold full copyright and ownership rights.
  • Sellers confirm they have all necessary permissions, licenses, model releases, and property releases (where applicable) for selling such images.
  • Sellers agree to indemnify Foto Owl against any claims, disputes, or liabilities arising from copyright infringement, misuse of content, or lack of appropriate releases.

3. Watermarks & Image Protection

  • To protect images, Foto Owl will automatically apply a full-size watermark on all gallery images before purchase.
  • Once a photo is purchased, the watermark is removed, and the buyer receives the original uploaded resolution.
  • Sellers may customize the text on the watermark to include their brand or name.

4. Pricing & Payments

  • The Seller sets a single price per gallery.
  • Buyers may add images to their cart and pay securely.
  • Payment gateways:
    • For Indian Sellers/Buyers: Easebuzz and PhonePe.
    • For International Sellers/Buyers: Stripe (payouts handled directly by Stripe as per Stripe's terms).

5. Commission & Charges

  • Foto Owl charges a 10% commission per transaction, which includes applicable payment gateway charges (approx. 2%).
  • The remaining 90% is credited to the Seller as payout.
  • Commission is non-refundable.

6. Payouts

  • Payouts are processed on a 30-day aggregated cycle for all transactions within the period.
  • Sellers must provide:
    • Bank Account Number
    • IFSC Code (for Indian accounts)
    • Verified payout details (for international accounts via Stripe).
  • Minimum payout amount (India only): ₹100. Balances below ₹100 will not be processed until the threshold is met.
  • Payouts will only be made to the verified account provided in the Seller's dashboard.
  • Once processed, payouts cannot be reversed. Sellers are responsible for ensuring their bank details are accurate.

7. Buyer Access & Downloads

  • After purchase, buyers receive an email with download links to the purchased images.
  • Purchased images will remain available for 60 days from the date of purchase, even if the Seller deletes the event/gallery.
  • If the buyer does not download the purchased images within 60 days, the images may be deleted and Foto Owl will not be responsible for restoring access.

8. Refunds & Disputes

  • All sales are final. Once a buyer downloads the purchased image(s), no refund or cancellation is possible.
  • In case of disputes, Foto Owl may review the transaction but holds no liability for buyer–seller disagreements.

9. Content Moderation & Removal

  • Foto Owl reserves the right to remove or restrict any content that violates our Terms of Service, Privacy Policy, or applicable laws.
  • Sellers may also remove their own galleries, but purchased images will remain accessible to buyers during the 60-day download window.

11. Liability & Responsibility

  • Sellers are solely responsible for the ownership and rights of the photos they list for sale.
  • Foto Owl is not liable for copyright infringements, misuse of images, or disputes arising from photo sales.
  • Foto Owl's liability is limited to the extent permitted under Indian law.

12. Governing Law

  • For Indian users, these Terms are governed by and construed under the laws of India.
  • Disputes, if any, shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
